Welcome to Mavo Toys ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website located at mavotoys.com (the "Site"), as well as any business communications, inquiries, quotations, sample requests, or manufacturing services you engage with through our Site or direct contact channels.
Mavo Toys is a China-based custom plush toy OEM/ODM manufacturer with over 15 years of experience serving international B2B buyers, including brands, retailers, IP licensors, gift and promotional companies, importers, distributors, and e-commerce sellers.
By accessing this Site, submitting an inquiry form, requesting a quotation, placing a sample order, or initiating any business communication with us, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms, please discontinue use of this Site immediately.
These Terms apply to:
- All visitors and users of mavotoys.com
- Prospective and existing B2B buyers submitting inquiries or requesting quotes
- Clients engaging in sampling, OEM/ODM production, or export services
- Any party sharing design files, artwork, or intellectual property with Mavo Toys
These Terms do not constitute a binding production or sales contract. Formal manufacturing agreements are established through separate written contracts, purchase orders, and/or pro forma invoices agreed upon by both parties.

Website Content Usage Rules
All content published on mavotoys.com -- including but not limited to text, product descriptions, process documentation, photography, illustrations, logos, icons, and page layouts -- is the exclusive intellectual property of Mavo Toys or its licensed contributors, and is protected under applicable copyright and intellectual property laws.
Permitted Uses
- Browsing and reading Site content for the purpose of evaluating Mavo Toys as a potential manufacturing partner
- Sharing links to specific pages of the Site for legitimate business reference purposes
- Downloading or printing content solely for personal, non-commercial reference during a sourcing evaluation
Prohibited Uses
- Reproducing, copying, republishing, or redistributing any Site content -- in whole or in part -- without our prior written consent
- Using our product images, process photography, or case study materials for commercial purposes or competitor benchmarking
- Scraping, crawling, or automated extraction of Site content using bots, scripts, or third-party tools
- Misrepresenting our products, capabilities, or certifications in any third-party context

Inquiry, Quote & Sample Communication
Mavo Toys provides B2B manufacturing services for custom plush toys and soft toys on an OEM/ODM basis. All inquiries submitted through our website forms, email, or direct messaging channels are treated as non-binding expressions of interest until a formal agreement is executed.
Inquiry Submissions
When you submit an inquiry, you agree to provide accurate and complete information including your product requirements, target quantity, destination market, compliance needs, and timeline. Incomplete or inaccurate information may result in delayed or inaccurate quotations. Mavo Toys is not responsible for errors in quotations caused by incomplete buyer-provided specifications.
Quotations
All quotations issued by Mavo Toys are indicative and subject to final confirmation based on approved samples, confirmed order quantities, material availability, and production scheduling. Quoted prices are valid for the period specified in the quotation document. Quotations do not constitute a binding offer or contract.
Sample Orders
Sample production is initiated only after receipt of a sample fee (if applicable), approved design files or reference materials, and written confirmation of specifications. Sample costs and lead times vary by project complexity. Sample fees may or may not be deductible from bulk order costs, as specified in the individual project quotation.
Sample Revisions
We offer a structured revision process for samples. The number of complimentary revision rounds, additional revision fees, and timelines will be communicated at the project start. Mavo Toys aims to accurately reproduce approved artwork but minor manufacturing tolerances in color, size, and texture are inherent to physical production and are not considered defects unless they exceed agreed specification limits.
No Guarantee of Order Acceptance
Mavo Toys reserves the right to decline any inquiry, quotation request, or order at our sole discretion, including orders that conflict with legal requirements, involve infringing content, or fall outside our production capabilities.

Design Files & Intellectual Property Declaration
Mavo Toys takes intellectual property protection seriously. We understand that our clients -- particularly IP licensors, brand owners, and character merchandise companies -- require strict confidentiality and ownership clarity when sharing design assets.
Our IP Commitment
- All design files, artwork, character references, and brand assets shared with us are treated as strictly confidential
- Design files are used solely for the purpose of producing the agreed samples or bulk orders
- We do not share, sell, reproduce, or sublicense your designs to any third party without explicit written consent
- Clients may request a Non-Disclosure Agreement (NDA) prior to sharing sensitive design materials
Client Ownership Warranty
By submitting design files, artwork, logos, characters, or any other intellectual property to Mavo Toys, you represent and warrant that you are the rightful owner of such materials or have obtained all necessary rights, licenses, and permissions to use them for manufacturing purposes. You agree to indemnify and hold Mavo Toys harmless from any third-party claims arising from IP infringement related to materials you have provided.
Mavo Toys' Own IP
Any patterns, technical constructions, manufacturing processes, or proprietary methods developed by Mavo Toys during the production of your order remain the intellectual property of Mavo Toys unless explicitly transferred in writing. Client-specific designs and artwork remain the property of the client.
Portfolio & Case Study Usage
Mavo Toys will not display your products, designs, or brand identity in our portfolio, website, or marketing materials without your prior written consent. We respect the confidentiality requirements of all clients, especially those in licensed character merchandise.

Product Information & Price Changes
All product descriptions, specifications, material options, minimum order quantities (MOQs), lead times, and pricing information displayed on this Site are provided for general reference purposes only and are subject to change without prior notice.
Product Specifications
Displayed product dimensions, materials, fill types, and feature descriptions are representative examples. Actual specifications for your custom order will be confirmed in writing through the sampling and quotation process. Minor variations may exist between product images and physical samples due to photography, screen calibration, and manufacturing tolerances.
Pricing & MOQ
Prices shown on the Site (if any) are indicative estimates only and do not constitute a formal offer. Final pricing depends on product complexity, materials selected, order quantity, packaging requirements, compliance testing, and current raw material costs. MOQ thresholds are project-specific and communicated during the quotation stage.
Lead Times
Estimated production and delivery timelines provided on this Site are general references based on typical project conditions. Actual lead times depend on order complexity, sample approval speed, material availability, factory scheduling, and logistics factors. Mavo Toys will confirm specific timelines in writing for each order.
Price Changes
We reserve the right to adjust pricing at any time due to changes in raw material costs, labor, logistics, currency exchange rates, or regulatory requirements. Price changes will not affect orders already confirmed in writing by both parties, unless mutually agreed upon.
Compliance & Certification Information
References to safety standards such as CE, EN71, ASTM F963, or other certifications on this Site describe our general manufacturing capabilities and the types of testing we can support. Specific test reports and compliance documentation are project-specific and must be requested and confirmed for each individual order. Mavo Toys does not guarantee that all products automatically meet every market's regulatory requirements without project-specific discussion and testing.

Manufacturing Liability

Indemnification

Governing Law & Dispute Resolution
Governing Law
These Terms of Service, and any disputes arising out of or related to your use of this Site or your business relationship with Mavo Toys, shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions.
Amicable Resolution
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or any business transaction with Mavo Toys, both parties agree to first attempt to resolve the matter through good-faith negotiation. We encourage open communication and will make reasonable efforts to address concerns promptly and fairly.
Arbitration
If amicable resolution cannot be reached within thirty (30) days of written notice of a dispute, either party may submit the dispute to binding arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in Guangzhou, China, in accordance with its then-current arbitration rules. The arbitration shall be conducted in English. The arbitral award shall be final and binding on both parties.
Jurisdiction
For matters not subject to arbitration, you agree to submit to the exclusive jurisdiction of the competent courts located in Guangzhou, Guangdong Province, People's Republic of China.
Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable under applicable law, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of the remaining provisions.
Note for International Buyers
We recognize that many of our clients are based in Germany, the United Kingdom, the Netherlands, Australia, Poland, Spain, and other international markets. While these Terms are governed by Chinese law, we are committed to transparent, professional, and fair business practices aligned with international B2B standards. For project-specific contracts, we are open to discussing mutually agreeable terms and dispute resolution mechanisms.

Entire Agreement
